In the age of Sarbanes-Oxley applying comprehensive fiduciary governance processes is smart business.  Applying and testing the internal controls on your ERISA retirement plans is mandatory whether your company is public or privately held.  Whereas ERISA fiduciary-related litigation in the past has been mostly a civil matter, failure to comply with Sarbanes-Oxley requirements may elevate non-compliance to a criminal level.  The risk of non-compliance can be mitigated by implementing a systematic governance process.
